These Marketplace Terms and Conditions (“Marketplace Terms”) govern participation in any Astronova Host marketplace or catalog (“Marketplace”) where third-party or first-party software, images, templates, and services (“Marketplace Items”) are listed, sold, or distributed.
1. Relationship to Other Agreements
These Marketplace Terms supplement Astronova’s main Terms of Service and other applicable agreements. In case of conflict, these Marketplace Terms govern Marketplace-related matters.
2. Roles
- “Provider” means a party (including Astronova) listing or offering a Marketplace Item.
- “Customer” means a party acquiring or deploying a Marketplace Item via the Marketplace.
3. Licensing and Use of Marketplace Items
Each Marketplace Item may be subject to its own license terms (for example, open source licenses, commercial EULAs, or cloud service terms). By acquiring or using a Marketplace Item, Customer agrees to the applicable license in addition to these Marketplace Terms.
4. Billing and Payments
Some Marketplace Items are free; others may incur one-time or recurring fees. Fees, billing intervals, and currency will be disclosed at or before checkout. Astronova may collect fees on behalf of Providers and remit amounts less applicable charges or commissions.
5. Responsibility for Marketplace Items
Providers are responsible for the development, maintenance, support, and functionality of their Marketplace Items, except for items offered directly by Astronova. Unless explicitly stated, Astronova:
- Does not guarantee that Marketplace Items are error-free, secure, or compatible with all environments.
- Is not liable for issues caused by Marketplace Items, except to the extent required by law or provided in our own terms for Astronova-branded items.
6. Support
Support for Marketplace Items may be provided by the relevant Provider or, where indicated, by Astronova. Support levels, response times, and coverage are specified in the Marketplace listing or in separate agreements.
7. Prohibited Listings
Providers may not list Marketplace Items that:
- Violate applicable law or third-party rights.
- Contain malware or are designed to compromise security.
- Misrepresent capabilities or affiliations.
8. Removal and Suspension
Astronova may remove Marketplace Items or suspend access to them at any time, including in response to legal requests, abuse reports, or security concerns. We will endeavor to provide notice where appropriate.
9. Data and Privacy
Marketplace Items may process Customer data. Providers are responsible for describing their data handling practices in their own privacy or data protection notices. Where Astronova processes data associated with Marketplace usage, such processing is subject to our Privacy Policy and DPA where applicable.
10. Ratings and Reviews
Customers may be able to rate or review Marketplace Items. Astronova may moderate ratings and reviews and may remove content that is inappropriate, unlawful, or violates our policies.
11. Indemnity
Providers may be required to indemnify Astronova and Customers for claims arising from Marketplace Items, including intellectual property infringement claims, as set out in the Provider’s agreement with Astronova.
12. Changes to the Marketplace
Astronova may change, suspend, or discontinue all or part of the Marketplace at any time. Material changes will be communicated via our website or other appropriate channels.
13. Disclaimers and Limitation of Liability
To the maximum extent permitted by law, Marketplace Items are provided “as is” and “as available”. Astronova disclaims all warranties not expressly stated in writing and limits its liability as described in the main Terms of Service.
